Mit dem Ziel, den deutschen Markt fur Asset-Backed Securities (ABS) zu foerdern und zu verbessern, hat der Gesetzgeber im Jahr 2005 das Refinanzierungsregister ( 22a bis 22o KWG) geschaffen. Nunmehr koennen u.a. Grundpfandrechte, auf deren UEbertragung ein Anspruch besteht, insolvenzfest in ein Refinanzierungsregister eingetragen werden. Insbesondere der Bereich der True-Sale Mortgage-Backed Securities sollte von den neuen Regelungen profitieren. Das Problem der mangelnden Insolvenzfestigkeit, das den bisherigen Treuhandabreden zwischen dem die Forderungen veraussernden Unternehmen und dem Erwerber der Forderungen anhaftete, wird durch die neuen Regelungen weitestgehend beseitigt. In Bezug auf den Treuhander einer ABS-Transaktion hat das Refinanzierungsregister keine grundlegenden AEnderungen bewirkt. Dieser kann auch weiterhin in die Transaktionen eingebunden werden. Beschrankungen ergeben sich allerdings, soweit es sich - und dies ist uberwiegend der Fall - bei dem Treuhander nicht um einen UEbertragungsberechtigten im Sinne des 22d Abs. 2 Ziff. 1 KWG handelt. Der Treuhander kann dann nur auf schuldrechtlicher Basis oder uber eine Verpfandung der Vermoegensgegenstande der Zweckgesellschaft legitimiert werden.
