Unternehmensk ufe und -zusammenschl sse (M&A) sind aber kein neues Ph nomen, wie diese Diplomarbeit u.a. darlegen wird, sondern eine ganz normale Reaktion der Unternehmen auf den Wettbewerb. In diesem Zusammenhang m chte ich auf die f nf grundlegenden Wettbewerbskr fte des Branchenwettbewerbs von Porter hinweisen und zwar auf die Bedrohung durch neue Anbieter in Form von Preisdruck und somit einhergehender Reduzierung der Rentabilit t, die Verhandlungsst rke der Abnehmer durch ihre Forderung nach Niedrigpreisen, hoher Qualit t und Service, die Verhandlungsst rke der Lieferanten, Druck durch Ersatzprodukte in Form von Preisobergrenzen f r das Produkt der Branche und schlie lich der Grad an Rivalit t unter den bestehenden Wettbewerbern. Forciert wird dieser Wettbewerb heutzutage durch die Globalisierung, d.h. durch die Zunahme der internationalen Konkurrenz, und durch technische Innovationen, d.h. moderne Kommunikations- und Informationstechnik. Hierdurch entstehen f r die Unternehmen nahezu grenzenlose Gesch ftsm glichkeiten. Die Kehrseite der Zusammenschl sse von Unternehmen liegt im Scheitern des Zusammenschlie ens (unterschiedliche Studien belegen, da etwa 50% aller Zusammenschl sse scheitern). Vielfach wird bersehen, da es bei einem Zusammenschlu nicht nur um die Erzielung von Synergien geht, sondern vielmehr um einen ganzheitlichen Vorgang, also Planung, Durchf hrung und Implementierung, damit aus einem Zusammengehen ein Erfolg wird. Dabei spielt es keine Rolle, ob es sich um multinationale Zusammenschl sse handelt oder mittelst ndische Unternehmen betroffen sind. Dieser M&A-Proze verlangt eine Professionalisierung. Ein
