Le choix d'une forme par rapport une autre d pend de plusieurs d terminants que nous avons pu voquer en mobilisant plusieurs th ories appartenant deux branches distinctes savoir les th ories contractuelles et les th ories cognitives. Nous avons compl t notre tude th orique par une tude empirique en envoyant un questionnaire plusieurs firmes multinationales de nationalit s europ ennes et nord am ricaines. Les r sultats de cette enqu te montrent la sup riorit de l'approche contractuelle, par rapport l'approche cognitive, dans l'explication du choix de la forme organisationnelle.
