The eBay™ ½ Billionth Item Listed Sweepstakes begins at 12:00:01 a.m. PT on March 14, 2001 and ends on the day and at the end of the hour that the ½ Billionth item is listed for sale on eBay.com (i.e. if the ½ billionth item was listed at 13:15:02, then the sweepstakes will end at 14:00:00), or April 10, 2001 whichever is soonest ("Promotional Period"). eBay estimates that the ½ billionth item will be listed at some time from the start of the Promotional Period until the end of the month of March 2001. When the sweepstakes terminates, the sweepstakes will be removed from the eBay website (the "Site") and an announcement will be posted on eBay's home page to this effect.

1. To Enter: You are automatically entered in the eBay ½ Billionth Item Listed Sweepstakes when you list an item for sale on eBay during the Promotional Period. To enter without listing an item for sale on eBay, go to www.ebay.com/promo/halfbillion and complete and submit the online entry form. Be sure to indicate your guess as to the date, hour, minute & second in Pacific Standard Time in which the ½ billionth item will be listed for sale on eBay. All eligible entries must be received prior to the end of the Hour in which the ½ billionth item is listed for sale. "Hour" is defined as that date and hour in which the ½ billionth listing occurred (i.e. if the listing occurred on March 10, 2001 at 13:15:02 then the hour in which the listing occurred will be from 13:00:00 until 14:00:00 hours). Entries received after the Promotional Period will not be eligible. All entries become the property of the Sponsor and will not be returned.

To enter without purchase or obligation, hand-print name, address, city, state, zip, day and evening phone numbers, and the words The 1/2 Billionth Listing Sweepstakes on a 3" x 5" card, and mail in a stamped #10 envelope (postage meter mail not acceptable) to: 1/2 Billionth Listing Sweepstakes, P.O. Box 4007, Grand Rapids, MN 55730-4007. Indicate on the lower left hand corner of the mailing envelope your guess as to the date, hour, minute & second (stated in military time) in Pacific Standard Time in which the ½ billionth item will be listed for sale on eBay. All entries must be postmarked no later than the next business day after the end of the Hour in which the ½ billionth item is listed for sale and received within seven (7) days, or must be postmarked no later than April 10, 2001, and received by April 17, 2001, whichever is soonest. Check the eBay site to see official end date and when the1/2 billionth listing occurred. No mechanical reproductions permitted. Enter as often as you wish however, only one entry per stamped envelope will be accepted. Entries become the property of the Sponsor and will not be returned.

2. Winner Selection: At the conclusion of the sweepstakes, all entrants who have either listed an item for sale on the Site on the day and in the same Hour that the ½ billionth item is listed for sale, or alternate entrants who correctly guessed the Date and Hour that the ½ billionth item was listed for sale, will be eligible for the grand prize drawing.

First Prize Winner Selection: At the conclusion of the sweepstakes, all entrants who have listed an item for sale on the day and the exact hour, minute & second that the ½ billionth item is listed for sale and alternate entrants who guessed the date and hour, minute & second that the ½ billionth item was listed for sale will be declared First Prize Winners. All prizes will be awarded. Only one First Prize per person, family, or household. First Prize Winners are also eligible to win the grand prize.

Grand Prize Winner Drawing: A random drawing will be conducted at the conclusion of the sweepstakes from amongst all entrants who either listed an item for sale on the date and in the Hour in which the ½ billionth item was listed for sale, or alternate entrants who guessed the date and Hour that the ½ billionth item was listed for sale. All random drawings are under the supervision of Marden-Kane, Inc. an independent judging organization whose decisions are final and binding in all matters regarding the sweepstakes.

If the sweepstakes terminates on April 10, 2001 without the ½ billionth listing having occurred, a random drawing will the conducted amongst all eligible entries received during the Promotional Period and one First Prize Winner and one Grand Prize Winner will be selected.

3. Odds: The estimated odds of winning a First Prize are approximately 1:1,296,000. The estimated number of First Prize Winners are 1,000. The estimated odds of being selected as the Grand Prize Winner when you have already listed an item for sale during the day and hour that the ½ billionth item is listed for sale (or have correctly guessed the exact day and hour) are 1:35,000. The estimated overall odds of being the Grand Prize Winner are 1:12,600,00. However the actual odds of being the Grand Prize Winner depend upon the total number of actual eligible listings on the date and hour that the ½ billionth item is listed for sale and number of alternate entrants that have correctly guessed the exact day and hour.

4. Prizes: First Prizes: All first prize winners will share in the first prize dollar pool of $50,000. The pool will be equally divided amongst all First Prize Winners, however the minimum check any prizewinner will receive will be for $50.

5. Eligibility: Sweepstakes open to legal U.S. residents 18 years or older as of time of entry. Employees of eBay Inc, its respective subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies of eBay Inc., including Marden-Kane, Inc., and their immediate families (spouse, parents, children and siblings and their respective spouses) and individuals living in the same households of such employees are ineligible. Void where prohibited by law. Sweepstakes subject to all applicable federal, state, local laws and regulations. By participating, entrants agree to these official rules and accept decisions of the Sponsor and Marden-Kane, Inc. as final in all matters relating to this promotion.

6. Prize Notification: All first and grand prize winners will be notified by certified mail, return receipt requested and will be required to complete and sign an Affidavit of Eligibility and Liability Release, and where legal, a Publicity Release, which must be returned within 14 days after issuance of prize notification. If a first prize winner's documents are returned as undeliverable or not received by the due date, the prize will be forfeited and will be awarded equally amongst all the other first prize winners. If the grand prize winner's documents are not received by the due date, or are returned as undeliverable, the prize will be forfeited and awarded to an alternate winner. Entrants agree to the use of their name and photograph/likeness for advertising and promotional purposes for this and similar promotions without additional compensation, except where prohibited by law.

7. Limitation of Liability: By participating in the sweepstakes, entrants agree to indemnify and hold harmless the Sponsor, Marden-Kane, Inc. their affiliates, parents, subsidiaries and their respective agents, representatives, officers, directors, shareholders and employees (collectively, "Releasees") from any injuries, losses, damages, claims and actions of any kind resulting from or arising from participation in the sweepstakes or acceptance, possession, use, misuse or nonuse of the prize that may be awarded or Sponsor's failure to immediately remove the sweepstakes from the Site at the end of the hour when the ½ billionth item has been listed. Releasees are not responsible for printing or typographical errors in any sweepstakes-related materials; for stolen, lost, late, misdirected, damaged, incomplete, illegible entries; or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, human, error; or for electronic, computer, or telephonic malfunction or error, including inability to access the Site, list an item for sale, or submit an alternate entry. If in the Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the sweepstakes, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the sweepstakes the judges reserve the right at their sole discretion to disqualify any individual who tampers with the entry process and void any entries submitted fraudulently, to modify or suspend the sweepstakes, or to terminate the sweepstakes and conduct a random drawing to award the prizes using all non-suspect entries received as of the termination date. Sponsor will use reasonable commercial efforts to remove the sweepstakes from the Site at the end of the hour when the ½ billionth item has been listed, but in no event will the sweepstakes be removed later than 48 hours thereafter.

8. Winner's List: For the name of the grand prize winner, send a self-addressed, stamped envelope to: eBay Sellers ½ billionth Listing Grand Prize Sweepstakes winner, c/o Marden-Kane, Inc., P.O. Box 714, Sayreville, NJ 08871-0714. Requests must be received by April 15, 2001.
